RideUnity Terms of Service

1) Acceptance of Terms

By clicking on "I agree" you ("you" or "your") will be subject to our Terms of Service ("Terms of Service" or "Terms" or "Agreement"). This Agreement shall govern your use of RideUnity Application (herein referred to as "RideUnity Application" or "Application" or "Platform" or "RideUnity Platform") whether on mobile or Our website ("Website") provided to you and operated by Salamdev Inc. (herein referred to as "RideUnity", "our", "us", "we"), therefore these Terms and the polices herein shall constitute the agreement between you and Salamdev Inc. (collectively herein referred to as "Parties"). Please read carefully these Terms of Service before using RideUnity Application. By using or accessing the Platform of RideUnity, you expressly acknowledge that you read and understand this Agreement and accept all the Terms thereof. Terms of Service shall be updated by RideUnity by serving the User prior notice.

2) Definitions

To ensure clarity and consistency, this section defines key terms used throughout this Agreement. The terms listed below, wherever they appear in this Agreement, shall have the meanings specified next to each term, unless the context requires otherwise.

  1. "User" refers to individuals/ organization who are accessing the Application, including drivers ("Drivers"), passengers ("Passengers") and community admins ("Community Admins"), (hereinafter referred to as "you" or "your").

  2. "Application" means RideUnity application.

  3. "Platform" means the platform that contains all the data of the Application.

  4. "Service" means carpooling services provided by RideUnity via Application or via the website thereof "Website".

  5. "Carpooling Ride" or "Carpooling" or "Ride" means car-sharing with others and sharing the same destination without receiving any compensation for Service other than reimbursement for the operating costs attributable to the provision of that Service.

  6. "Trip" means the route that determines the pick-up location and the drop-off location including all the details related to an ongoing Ride on the Application. A Trip is created and maintained by a Driver.

  7. "Account" means the account that should be created to use RideUnity Platform.

  8. "Community" means a group created by Community Admin in which Users of common interests, professions or shared rides are gathered and connected. Community may be public, private or invisible.

  9. "Community Admin" means the User who creates Community and has full control thereof.

  10. "Member" means the User who joined Community and became a member therein.

  11. "Event" means the event created by Community Admin to offer a Carpooling Ride.

  12. "Public Community" means Community that is visible and accessible to any User to join the Platform.

  13. "Private Community" means Community that is visible but not accessible on the Platform until the User sends a request "Join Request" and the Community Admin accepts this request.

  14. "Hidden Community" means Community that is invisible, and Users can only access this Community by an invitation sent by the Community Admin.

  15. "Fare" means the cost contribution for a given Ride, which is the sum of money requested by the Driver and accepted by the Passenger for the contribution thereof to the Ride costs.

  16. "Passenger" means Member who reserves a seat in the Driver's vehicle.

  17. "Driver" means Member who accepts the Driver declaration and offers seats in the vehicle thereof to be shared with other Passengers.

  18. "Vehicle" means the vehicle that has a valid license owned or rented by the Driver.

  19. "Insurance" means all the insurance required for driving a Vehicle, the Driver must possess valid auto insurance covering third-party liability and accident benefits. This insurance ensures protection for Drivers and Passengers in accidents or incidents during Carpooling Rides. Passengers are covered under the Driver's insurance policy, ensuring comprehensive protection while participating in shared Rides.

  20. "Rating and Feedback System" means a feature in the Application that allows Users to provide feedback about the Ride thereof which helps other Users to make decisions thereupon.

3) Service Description

Welcome to RideUnity Application, your go-to Platform for efficient and sustainable transportation solutions. Our Platform connects Users for sharing Rides, reducing traffic congestion and emissions while ensuring a safe and comfortable Carpooling experience for you and your children. Whether you're looking to share Rides daily or plan a one-time Trip, Our Platform facilitates these connections seamlessly. Our Platform connects Users based on their interests, causes, or professions through various Communities and like-minded groups. Our Services are available through RideUnity Application and Our Website.

3.1 Passengers' Role

Passengers may join Community based on the interests thereof or by receiving an invitation by Community Admin to join certain Community. Passengers can search for Carpooling Rides based on criteria such as origin, destination, date, and time, view estimated arrival times, and join Carpooling Rides associated with Events within the same Community. Passengers will be able to view Drivers' profiles and details about the Vehicles thereof.

3.2 Drivers' Role

The Website serves as an online platform where Users can access information about RideUnity Services, create an Account, and manage their profiles. It provides additional resources and support for Users to enhance their experience on the Platform.

3.3 Community Admins' Role

Community Admins may manage the Community policies thereof by setting rules and guidelines. Community Admins have a range of features to effectively oversee the Community thereof, including the ability to purchase and distribute subscription plans for Members. Community Admins may offer both individual and bundled subscription options with fixed capacities and send invitations automatically to Users for joining Community. Additionally, Community Admins may create Events, providing details such as the Event name, description, time, date, maximum number of participants, location, and any recurring Event dates. Community Admins can also make announcements to inform Community Members about newly created Events or completed Events. Furthermore, Admins shall have the authority to accept or reject membership requests from Users wanting to join Community.

4) Account Verification and User Information

When User registers Account with us, User shall ensure that the information provided thereby is accurate, complete, and up to date. Failure to do so violates our Terms of Service and may lead to termination of User's Account.

User shall have the responsibility to keep the password used to create Account secure. User shall be liable for all activities conducted using the password thereof, whether on our Platform or through a third-party service.

User shall agree not to share the password thereof with any third party. If User suspects any security breach or unauthorized use of Account thereof, User shall notify RideUnity Application promptly.

RideUnity established a verification system for certain information that User provides on the profile thereof to enhance transparency, build trust, and prevent or detect fraud. This verification process may apply, for example, to the telephone number and email address of User.

Users will also have the option to verify their government ID, such as a driver's license, national ID, or passport, through Our Platform. This additional verification step is designed to further enhance the transparency of interactions between Users. By providing verified government ID, Users can ensure that they are engaging with authenticated profiles, which helps build a more trustworthy and secure Community. This process not only boosts confidence in the authenticity of profiles, but also significantly reduces the risk of fraud. Our commitment to transparency means that User can have peace of mind knowing that the people User interacts with on RideUnity Application are who they claim to be, fostering a safer and more reliable Community for everyone.

By using RideUnity Platform, User consent to the collection, processing, and storage of the personal data thereof as outlined in Our Privacy Policy. Please visit Our Privacy Policy page on Our Platform for more information.

User understand and agree that information of Users / Members on the Platform has successfully completed the verification process established by RideUnity. This verification is aimed at providing additional information about Member that User may be considering sharing the Ride with.

5) Eligibility

By using RideUnity Application as Passenger, You shall be at least 18 years old, You confirm that You are legally capable of entering into a binding agreement, under any circumstances, and You acknowledge that You are not a person barred from receiving services under the laws of Canada and U.S. or other applicable jurisdictions.

User who is Driver shall hold a valid full driver's license in the jurisdiction thereof.

Users under 18 years old may use Application only under the direct supervision and responsibility of the parents or legal guardians thereof. Parents or legal guardians are solely responsible for monitoring and managing the use of Application by minors under their care. By allowing a minor to use Application, the parent or legal guardian acknowledges and agrees to accept all responsibilities and liabilities associated with the minor's use of Service.

Parents may create and manage two separate Accounts: one for themselves and another for the child thereof. This feature includes a delegation system, allowing parents to manage and oversee Account activities of the child thereof. Through this delegation, parents may set up a Ride for the child thereof and manage specific permissions and restrictions for the Account of the child, ensuring that interactions are appropriate and secure.

6) Car Information and Verification

Users who offer Rides shall enter the car make, model, and license plate and acknowledge that the aforesaid information are true. Users who book Rides or subscribe to Events are provided with the car information and may verify and report any suspicious activity or untrue information. Community Admin is also required to verify the accuracy of information and monitor reported issues.

7) Quality Control

RideUnity shall require all Users to verify the personal information thereof through Our Platform, as outlined in Section 4. By using Our Service, you agree to release RideUnity from any liability for content, including errors or omissions, and for any losses or damage incurred from the use of or reliance on any content made available through the Service.

8) User Code of Conduct and Safety

Users of Our Platform are expected to adhere to a code of conduct that promotes safety, respect, and responsible behavior. Users are expected to communicate openly and honestly while maintaining professionalism and consideration for others. If You agree on RideUnity Terms of Service, then you also agree on the Community Guidelines of this Platform. Please visit Our Community Guidelines page for more information.

9) Background Checks

Users shall verify their Accounts through email or phone number. However, RideUnity shall neither be liable for conducting background checks on Users nor investigate the reputation, conduct, morality, or criminal background thereof, as RideUnity Platform is based on social aspect of knowing people. Users shall solely be responsible for their interactions and engagements with others on Platform.

RideUnity acts solely as a facilitator to connect Members and does not intervene in disputes that may arise among Users. As RideUnity Service is designed to help Users connect and arrange rides, therefore, any issues, conflicts, or disagreements that occur among Users are the sole responsibility of the involved parties. RideUnity shall not be liable for any disputes or claims resulting from interactions among Users.

10) Non-Commercial Business and Cost Reduction

You acknowledge that You are using Our Service for non-profitable business, on a non-commercial basis and only for one purpose which is described in section (2) subsection (4,5). If it appears to us that you are using Application in another way rather than described in section (2) subsection (4,5), then RideUnity shall suspend your Account permanently.

Driver acknowledges not to ask for more money than what Passenger spent on the Trip, ensuring that Driver does not profit therefrom. Specifically, in cost-sharing scenarios, You shall cover Your own portion of Trip expenses. You may use Platform's recommended Fare for specific Trips as a guideline, but it remains the Driver's responsibility to accurately calculate the Trip Fare and ensure that the amount the Driver requests from Passengers does not exceed what you have spent. Users can pay or receive money online or in cash for the Trips.

11) Service Fees

11.1 Service Fees

Users shall pay subscription fees to access our Platform and to verify the Accounts thereof. Users can manage the subscription thereof and billing details. Subscription fees vary based on the subscription plan joined by Users, as there're different plans provided by Platform; Free User Plan, One-time Use Plan, Premium Plan, Small Team Plan and Organization Plan.

11.2 No Refund Policy

All subscription fees paid shall be non-refundable. Once a subscription fee is paid, it is considered fully earned and non-refundable, regardless of the usage of Our Services or the duration of the subscription period. Users acknowledge and agree that they will not receive refunds of the subscription period if they decide to cancel their subscription before expiration thereof.

12) Payment Method

When Passengers make payments, they could use the online payment processor, Stripe Connect. This secure platform handles all financial transactions between Passengers and Drivers. Payments made by Passengers will be processed through our payment processor partner, which ensures that funds are transferred efficiently and safely. Driver will receive payments or compensation directly to the linked account thereof once the ride is completed or cancelled as stated in the cancellation policy herein in no.13. It is important to ensure that your Stripe Connect account is properly set up to receive funds and manage Your transactions.

13) Cancellation Policy

13.1 Passenger Cancellations

13.1.1 More than 24 Hours Before Departure

No payment (hold release): Passengers who cancel Ride within more than 24 hours before the scheduled departure shall neither be charged nor penalized, as the hold on the payment that could be done upon completion of the ride will be released upon cancellation and no money shall be taken from the passenger. This Policy is designed to encourage early cancellations and provide flexibility for Passengers.

13.1.2 Within 24 Hours to 2 Hours Before Departure

No payment: Passengers who cancel Ride between 24 hours and 2 hours before the scheduled departure shall be charged 50% of the total Fare as a cancellation fee. Driver shall be compensated by receiving the remaining 50%. This Policy acknowledges the inconvenience caused to Driver while charging Passenger partially.

13.1.3 Less than 2 Hours Before Departure or No-Show

Full charge: Passengers who cancel Ride within less than 2 hours before departure or fail to show up shall be charged the full amount of Ride cost, as the amount will remain held. Driver shall be entitled to 100% of the amount of Fare to cover the costs and inconvenience incurred due to last-minute cancellation or no-show. In case the Passenger fails to show up, the Driver shall contact the Passenger to confirm this absence and shall wait for 5 minutes which is the grace period then the Driver will be able to cancel the Ride. Passenger will be subjected to rate and review by the Driver for being late or for the no-show.

13.1.4 Cancellation requests (while the driver is on the way)

In case the Passenger requested to cancel the ride while the driver is on the way, the driver shall respond within a grace period of 3 minutes and may accept, reject or ignore the request as follows:

  • In case the Driver accepts the cancellation request, the Passenger will be entitled to leave the pick-up point and there'll be no charges applied. - In case the Driver rejects the cancellation request:
    • The Passenger shall wait till the driver arrives to the pick-up point.
    • The Passenger may have the right to request cancellation maximum for two times and in case the Driver rejects it for the second time, then the Passenger will be charged 50% of the Ride cost and the Driver will receive 50% of the Ride cost as compensation.
  • In case the Driver ignores the cancellation request, then the request will be automatically considered accepted, consequently no charge will be applied.
  • In case Passengers in the same pick-up point request cancellation, the Driver may accept, reject or ignore all requests in accordance with the terms stated in 13.1.4. herein.

13.2 Driver Cancellations

Passenger may cancel the Ride at any time before the Trip starts. However, if the Passenger cancels the Ride after booking it, the Passenger may be subject to a cancellation fee as determined by RideUnity. The cancellation fee will be communicated to the Passenger at the time of cancellation.

13.3 Dispute resolution between the users

Cancellation fees are designed to compensate the Driver for any inconvenience caused by the cancellation and to encourage responsible booking behavior among Passengers. The specific amount of the cancellation fee will be determined by RideUnity and may vary based on factors such as the timing of the cancellation and the nature of the Ride.

14) Rating and Feedback System

At RideUnity, Our Rating and Feedback System is designed to ensure a high standard service and foster a trustworthy community. After each Carpooling Ride, both Drivers and Passengers are encouraged to rate their experience and provide feedback. This system does not only help Users to share the experience thereof, but also allows RideUnity to continuously monitor and enhance the quality of Service. Ratings and comments contribute to building a transparent environment where Users can make informed decisions based on the experience of other Users. Positive feedback reinforces good behavior, while constructive criticism helps address areas for improvement. By actively participating in this system, Users play a crucial role in maintaining a safe, respectful, and enjoyable Carpooling experience for everyone.

15) Incentives

Users are rewarded with discounts, free rides, or other incentives for using our Service frequently or referring new users to the Application. The loyalty and referral status of Users is displayed on the profile thereof. Users may have the option to redeem the rewards thereof or incentives through the Application.

16) Intellectual Property

16.1 License

RideUnity grants you a limited, but a non-exclusive, non-assignable, personal, and non-transferable license to use the Platform and Services only and solely for your personal and private use, without commercial intent and in accordance with the Platform's intended purposes.

User shall not use or exploit the Platform, Services, or the content thereof for other purposes without prior written consent by RideUnity.

16.2 Intellectual Property Rights

16.2.1

User acknowledges that Salamdev Inc. is the sole and exclusive owner of all Salamdev Inc. intellectual property rights in relation to RideUnity Application whether on Website or mobile or any other Platforms related thereto, including the following rights, whether registered or unregistered in Canada or any country in the world:

  1. Salamdev Inc. technical knowledge, whether protected by patents or not, and whether registered or protected by Salamdev Inc. by maintaining the confidentiality thereof, regardless of the economic value or material evaluation thereof.

  2. Salamdev Inc. industrial designs and models, designs of utility models and Know-how for any product, process, method, manufacture, design or any new or useful improvement thereof.

  3. Trademarks, models, logos, symbols and fonts that contain RideUnity, Salamdev or any other trademark or design that Salamdev Inc. uses to distinguish Services, products, Applications, including the short phrases used in marketing campaigns, in addition to.

  4. Copyrights related to Salamdev Inc advertising and marketing campaigns, and audio-visual works published on the Internet in relation to RideUnity Application and Service or any other applications or services that belong thereto.

  5. Copyrights and all associated intellectual property rights related to design elements, graphics, icons, images, software, algorithms of RideUnity Application whether on website or mobile and any other application owned by Salamdev Inc.

16.2.2

User shall not use any intellectual property rights owned by Salamdev Inc. or the affiliates thereof and in relation to RideUnity Application without a prior written consent by Salamdev Inc.

16.2.3

User acknowledges that this Term of Services does not transfer or grant rights from Salamdev Inc. over the Intellectual Property of Salamdev Inc. or the Affiliates thereof or RideUnity Application, except for what is stipulated in this Terms of Service.

16.3 User Submission

User Submissions refer to any content, information, data, or materials that User shares with RideUnity or through RideUnity Services. These submissions may include comments, feedback, suggestions, ideas, requests for product or service improvements, and entries for competitions or promotions.

By providing User Submissions, you agree to the following:

  1. You acknowledge and agree that such submissions are not confidential or proprietary.

  2. You grant us the license to use, modify, publicly perform, publicly display, reproduce, and distribute such submissions on and through the Service, and you agree that this license includes the right for us to make your Content available to other Users of the Service, who may also use your Content subject to these Terms.

  3. You retain any and all of your rights to any content you submit, post or display on or through the Service and you are responsible for protecting those rights.

  4. You shall be responsible for the content that you post to the Service, including its legality, reliability, and appropriateness.

17) Child Safety Policy

Our policy is designed to ensure the safety of all Users, including children. To provide a secure and comfortable Ride for your child, the following guidelines shall be followed:

Age and Seating Requirements:

  • Infants (under 1 year old): Infants must be securely fastened in an appropriate rear-facing car seat.

  • Toddlers (1-4 years old): Toddlers must use a forward-facing car seat or booster seat, depending on their size and weight.

  • Children (5-12 years old): Children in this age group must use a booster seat if they are not tall enough to use the regular seat belts safely. Ensure that the child is properly secured in accordance with the local laws and safety recommendations.

  • Teenagers (13 years and older): Teenagers must use the vehicle's seat belts at all times. Ensure they know how to use the seat belts properly.

As a parent or legal guardian, you are responsible for ensuring that your child is accommodated with the appropriate child seat based on their age.

Our child policy complies with the regulations outlined on the official Canada Transportation website for child car seat safety. We encourage you to review and adhere to these regulations to ensure the safety of your child. Choosing a child car seat or booster seat (canada.ca).

Please note that each province has its own regulations regarding child car seats. It is the user's responsibility to adhere to the specific regulations applicable in their province, as outlined by local authorities.

Please note that both Driver and Passenger must provide mutual consent for child carpooling. This consent is required to ensure that both parties agree to adhere to the child safety policy and acknowledge that RideUnity is held harmless from any liability related to the safety and security of the child in the vehicle.

18) Good faith

Users agree to act in good faith towards each other and adhere to the agreed-upon terms of the Trip. This includes being punctual, respectful, and cooperative throughout the Trip. Users shall also commit to providing accurate information and communicating openly to ensure a safe and pleasant experience for all parties involved.

19) Indemnity

You acknowledge and agree that RideUnity does not conduct background checks on the Users thereof. RideUnity shall not be responsible for the behavior or actions of its Users, including any criminal acts Members may commit before, during, or after using the Service, and shall not verify the accuracy of information provided by its Users. You are solely responsible for your own safety and well-being when interacting with other Community Members. RideUnity shall not liable for any loss, damage, personal injury (whether physical, psychological, or material), directly or indirectly caused before, during, or after using the Service, including any misuse of information obtained through Website by you or other Members.

You agree to indemnify and hold harmless RideUnity and its affiliates, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your use of Service, your violation of these Terms of Service, or your violation of any rights of another party.

20) Termination

RideUnity shall reserve the right to suspend or terminate your access to Platform at any time, for any reason, without prior notice or liability. Reasons for termination may include but are not limited to violation of these Terms of Service, misuse of Application, or conduct that RideUnity deems detrimental to Community or interests thereof.

You may terminate your use of Application at any time by ceasing to use Service and deleting your Account. Upon termination by either Party, whether initiated by RideUnity or User, all rights and licenses granted to you under these Terms will immediately cease.

In case you terminate your Account, you acknowledge that RideUnity may retain your Profile information and User Submissions for a reasonable period of time for backup, archival purposes. RideUnity shall not be liable to you or any third party for any termination of your access to Application.

21) Limitation of Liability

By using RideUnity Platform, you agree that RideUnity and its affiliates, as well as their respective officers, directors, employees, agents, and representatives, shall not liable for punitive, special, indirect, consequential, incidental or exemplary damages or similar damages or losses incurred by the User, including but not limited to consequential, special, incidental or indirect: loss of business, loss of profits, loss of revenue, loss of goodwill, loss of anticipated savings, loss of data or other commercial or economic loss of any kind, or any intangible loss, resulting from the use of the Application or any related services by User.

You acknowledge and agree that Application act solely as a platform to facilitate Carpooling arrangements between Users. While Application endeavors to facilitate a safe and reliable Carpooling experience, RideUnity shall not assume any liability for any incidents, accidents, personal injuries, property damage, or any other harm caused as a result of your participation in Carpooling activities facilitated through Application.

You further understand and agree that Application does not conduct background checks on Users. It is your responsibility to exercise due diligence and judgment when engaging in Carpooling arrangements through Application.

By using Application, you release Application, RideUnity and its affiliates from any liability arising from or in any way connected with your use of Application and participation in Carpooling activities, to the fullest extent permitted by law.

Under any circumstances, the maximum liability of RideUnity and its affiliates, including their respective officers, directors, employees, agents, and representatives, shall be limited to the amount actually paid by you through the Service or $100 USD if you haven't purchased anything through the Service. This amount represents the full extent of any compensation available to Users, and Users agree that this shall be their sole and exclusive remedy. By using Our Platform, you acknowledge and accept that you will not be entitled to any additional compensation or damages beyond this specified amount, regardless of the nature of the claim or the extent of the damage incurred.

22) Cross-Border from Canada to US

Users intending to participate in cross-border trips from Canada to the United States acknowledge and agree to comply with all applicable laws, regulations, and requirements of both countries related to border crossing and travel. It is the User's sole responsibility to have valid identification and any required travel documents, such as passports or visas. RideUnity shall not provide any guarantee regarding the ease or legality of cross-border travel and accepts no liability for any issues arising from such travel, including but not limited to delays, denials of entry, or legal consequences. Users engaging in cross-border travel do so at their own risk and assume all responsibility for ensuring compliance with immigration and customs regulations.

23) Additional Considerations

23.1 Riding with Pets or Bags:

Passengers are allowed to transport pets or luggage, provided all occupants in the vehicle, including Driver, agree to such transportation. Passengers are responsible for securely storing and managing their belongings during Ride.

23.2 User Behavior and Smoking:

Prohibited behavior within the car includes but is not limited to intoxication and violence. Smoking is allowed with the consent of Driver and all the occupants of the vehicle in the Carpooling Ride.

23.3 Disclaimer Clauses:

By using Our Platform, Users acknowledge and agree to the following:

"AS IS" and "AS AVAILABLE" Disclaimer: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. RideUnity shall make no warranties of any kind, whether expressed, implied, statutory, or otherwise.

24) Governing Law

24.1. This Agreement shall be governed and construed in accordance with the laws of the province of Quebec and Canada without regard to its conflict of law provisions.

24.2. In the event of any claim arising out of this Agreement ("Dispute"), you and RideUnity shall first attempt to settle the Dispute amicably.

24.3. In the event that the Dispute is not resolved amicably within forty-five (45) days since serving notice of the Dispute, you and RideUnity agree to resolve the dispute via arbitration via the American Arbitration Association "AAA" in accordance with the Consumer Arbitration Rules thereof. The seat of arbitration shall be in Canada, the language to be used in the arbitration proceedings shall be French, and in case one of the parties doesn't speak French, then the arbitration proceedings shall be in French and the other language.

25) Severability

If any provision of these Terms is found to be invalid or unenforceable under any applicable law, such provision shall be deemed modified to the extent necessary to make it valid and enforceable while preserving intent thereof. If such modification is not possible, the provision shall be deemed severable from these Terms, and the validity and enforceability of the remaining provisions shall not be affected thereby. The invalidated or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the original intent and economic effect of the invalidated or unenforceable provision.

26) Amendments to Terms of Service

RideUnity shall reserve the right to modify or revise these Terms of Service at any time. Users shall be notified of any changes via [method of notification, e.g., email, app notification, website announcement]

Users acknowledge and agree that it is their responsibility to review these Terms of Service periodically and to be aware of any modifications.
